Quegly is a comprehensive social media management platform operated by NGSMedia LLC that enables users to schedule, manage, and publish content across multiple social media platforms including Instagram, YouTube, TikTok, Facebook, X (Twitter), and Threads from a unified dashboard. Our Service provides tools for content planning, bulk uploading, and automated posting.

By using Quegly to connect with third-party social media platforms, you also agree to comply with their respective Terms of Service:

5.3 Automatic Renewal: Subscriptions automatically renew unless canceled before the renewal date. You can cancel your subscription at any time through your account settings.

5.4 Price Changes: We reserve the right to modify subscription prices with at least 30 days' notice. Continued use after price changes constitutes acceptance.

We offer a full refund within 24 hours of your initial purchase. After 24 hours, all sales are final. To request a refund within the eligible period, contact us at support@quegly.com with your order details. Refunds will be processed to your original payment method within 5-10 business days.

7.1 Your Content: You retain all rights to the content you upload, create, or post through Quegly. By using our Service, you grant us a limited, worldwide, non-exclusive license to use, store, and transmit your content solely for the purpose of providing the Service and posting content to your connected social media accounts on your behalf.

7.2 Our Content: The Service and its original content, features, and functionality are owned by NGSMedia LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.3 Prohibited Content: You agree not to upload, post, or transmit any content that: • Violates any laws or regulations • Infringes on intellectual property rights • Contains malware or malicious code • Is defamatory, obscene, or offensive • Violates platform-specific content policies

We use industry-standard security measures to protect your data, including encryption of sensitive authentication tokens both in transit and at rest.

Quegly uses official API services from social media platforms to enable posting functionality. Your use of these API services through our platform is also governed by the respective platform's API Terms of Service and Privacy Policies. We are not responsible for any changes, limitations, or interruptions in third-party API services.

11.1 Availability: We strive to maintain 99.9% uptime, but we do not guarantee that the Service will be available at all times. The Service may be unavailable during maintenance, updates, or due to factors beyond our control.

11.2 Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuance of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NGSMEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT (D) FAILURES OF THIRD-PARTY SOCIAL MEDIA PLATFORMS OR APIS

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless NGSMedia LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

(A) Your access to or use of the Service (B) Your violation of these Terms (C) Your violation of any third-party right, including intellectual property rights (D) Content you post through the Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NGSMEDIA LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE (B) THE RESULTS FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE (C) THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION OBTAINED WILL MEET YOUR EXPECTATIONS

Quegly is not intended for use by individuals under the age of 13 (or 16 in the European Union). We do not knowingly collect personal information from children. If you become aware that a child has provided us with personal information, please contact us at support@quegly.com, and we will take steps to delete such information.

The Service is controlled and operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws and regulations. By using the Service, you consent to the transfer of your information to the United States.

17.1 Informal Resolution: Before filing a claim, you agree to contact us at support@quegly.com to attempt to resolve the dispute informally.

17.2 Arbitration: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.

17.3 Class Action Waiver: You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect via email notification to your registered email address and by posting a notice on our website.
